Auction Spear LLC and AuctionSpear.com is an independent provider of online auction platforms Only and does not manage, supervise, or dictate in any way the day-to-day operations of the independent business auction companies that lease space on the Auction Spear website. Each auction company is an independent business, and any Questions, Complaints, Disputes, or Concerns Must be resolved directly with the auction company in question.

AuctionSpear.com and its related sites, services, applications, domain names, and tools (collectively, the “Site”) are owned and operated by AUCTION SPEAR LLC. and its subsidiaries dba Auction Spear LLC (“ASLLC,” “us” or “we”) to provide an online auction platform and related services through which goods may be offered through Independent Associate auction companies and bid upon and sold to buyers (the “Services”). For the purposes of this document ASLLC is meant to include all Independent Associate auction companies utilizing the ASLLC provided platform. These terms and conditions (the “ASLLC Terms and Conditions”) govern bidder use and access of the Site and the Services, bidder purchase of goods on the Site, and bidder conduct on the Site.

Please read these ASLLC Terms and Conditions prior to using the Site and the Services. ASLLC provides bidders with access to and use of the Site and the Services subject to compliance with these ASLLC Terms and Conditions and the Site’s Terms of Use and Privacy Policy. Bidder use of the Site and/or the Services constitutes bidder’s express agreement to these ASLLC Terms and Conditions. If bidders do not agree to these ASLLC Terms and Conditions or if bidders are not legally competent to agree to them, then they may not access or use the Site or the Services. These ASLLC Terms and Conditions do not alter the terms or conditions of any other agreement bidders may have with us.

Registration is FREE to access the auctions and bid, a credit card may be required to verify identity and access the bidding platform and view most auctions. Other membership levels may become available and membership fees automatically renew when a bidder is in good standing and will be charged to credit card on file. For immediate assistance getting a bidder number after registering call ASLLC administration 817-690-7317. 1.     Eligibility to Use the Site and the Services While using the Site and/or the Services, Bidder agrees that they will not: • Use the Site or Services if bidder is not able to form a legally binding contract or if bidder is under the age of eighteen (18) years old; • Use the Services if bidder has been previously suspended or removed from the Site or engaged in any activity that could result in suspension or removal from the Site; • Manipulate the price of any item without the intent to purchase; • Circumvent or manipulate ASLLC fee structure, the billing process, any fees owed to ASLLC, or any technical measures ASLLC use to provide the Services;  • Fail to deliver payment for items purchased by bidder and associated fees or shipping costs; • Transfer or share bidder account and bidder number with another party without ASLLC consent; • Create accounts that misrepresent bidder identity or use the personal information of others;  • Use any automated means to access the Services;  • Access data not intended for bidder or log into a server or account which bidders are not authorized to access; • Use the Site in any manner that would interfere with, disrupt or inhibit other users from fully enjoying the Site or that could damage, disable or impair the functionality of the Site;  • Conduct fraudulent activities including collusion; and

• Trading and resale of property purchased at auction is strictly prohibited on auction premises.

• Bid on any items that may be sold only to persons at least twenty-one (21) years old if bidder is under the age of twenty-one (21) years old.

• Use of a prepaid debit card and subsequent non-payment may be considered “intent to fraud” and is strictly prohibited. (See Maintenance of payment section 3)

* ASLLC reserves sole and exclusive right to allow access to auction bidding platform and may refuse service to anyone at any time for any reason and without notification including specifically but not limited to abuse of website; collusion & illegal auction activity; non-payment (including any offset charges); any form of online or in person harassment, intimidation or bullying; breach of contract, addendums or contract terms; unauthorized misuse, download or distribution of confidential and proprietary information including subscriber and related; tampering with website, software or usage by themselves or others; slander, libel and false or misleading statements on social media or publicly available internet sites; filing of lawsuits; engaging in predatory behavior to subvert or attract consignors for personal or business gain from other Independent Associates; misuse and distribution of confidential and proprietary contracts or training materials; making false or unsubstantiated claims against Auction Spear LLC, Maple Leaf Appraisals or its related companies, third party affiliates or assigns and generally for any activity or statements that would diminish or undermine the integrity and intangible goodwill of the preceding list of companies and associated Independent Associates. This list should not be considered complete or all-inclusive and may be periodically updated and revised without notice.    

2. Sales

Item Descriptions – Caveat Emptor All items are sold “as is” and bidders are aware that, unless otherwise stated, the items sold on the Site are not new nor in perfect condition, may require touch-up or repairs prior to use and the available information about these items may be limited. ASLLC and Independent associate auction companies which utilize the platform may not list every flaw associated with each item as these are to be expected. In the case of obvious faults (chips, cracks, significant damage, etc.) ASLLC and Independent associate auction companies does its best to list the fault within the description. Any appraisal statements or valuation statements made are to be utilized only as “Informational” appraisals used to ascertain bidders own valuation and relevance and should not be considered an “official” appraisal. ASLLC and Independent associate auction companies may provide descriptions based on its assessment of an item. However, bidder should not assume that ASLLC and Independent associate auction companies’ assessment of condition will be the same as bidder’s assessment. It is the bidder’s responsibility to read and review all descriptions and images of an item before bidding, and bidders acknowledge that in posting such descriptions, ASLLC and Independent associate auction companies may or may not rely on information provided by the seller.

ASLLC AND INDEPENDENT ASSOCIATE AUCTION COMPANIES MAKE NO, AND EXPRESSLY DISCLAIM ANY, GUARANTEE, WARRANTY OR REPRESENTATION, EXPRESSED OR IMPLIED, TO BIDDERS WITH RESPECT TO ANY ITEM, INCLUDING WITHOUT LIMITATION, CONDITION, MERCHANTABILITY, QUALITY, RARITY, APPRAISALS, VALUATIONS, IMPORTANCE, FITNESS FOR A PARTICUALR PURPOSE, HISTORICAL RELEVANCE OR OTHERWISE.

Extension and Close of Internet Bidding - At the scheduled date and online sale closing period of a sale, items will begin to close at a predetermined number of items per minute. All online sales may be subject to ASLLC automatic extension system defined as follows: if an item receives a bid with less than three (3) minutes remaining until closing, the close time will be reset to three (3) minutes from the time the lot originally closes and will continue to reset to three (3) minutes with each newly placed bid. The item will not close until three (3) minutes have elapsed with no additional bid activity.

Sales Format – All bids must be placed through the Site. Absentee bidding offline is not allowed. Unless otherwise explicitly stated in the auction or item description, all sales are conducted without reserve by the seller. Unless otherwise explicitly stated by ASLLC in writing, the auction of personal and commercial property through the Service is conducted according to the following guidelines: (i) the property is sold to the highest bidder without reserve; (ii) the auction does requires a one (1) dollar minimum bid; (iii) the auction does not require competing bids of any type by the seller or an agent of the seller; and (iv) the seller of the property cannot withdraw the property from auction after the auction is opened and there is public solicitation for bids; provided, however, that ASLLC reserves the right to withdraw any item from the Site or to amend any content on the Site at any time in its sole discretion and Auctioneer and agents reserve the right to bid. ASLLC will not be liable to you or any third party if we withdraw an item, amend any content on the Site or deny you access to the Site or the Services.

3. Bidding

Buyer’s Contract - Winning bids placed on the Site represents an irrevocable legal contract and bidders are responsible for paying all amounts due to ASLLC and Independent associate auction companies. If bidders cannot pay for the items or agree to the shipping terms and costs, please do not bid on the items.

Maintenance of Payment Information - To place a bid, bidders may be required to have valid payment information stored in their bidder profile. By providing credit card information to ASLLC, bidder irrevocably authorize ASLLC to charge bidders credit card for the total purchase amount of any winning bid plus any fees associated with the sale of the item, including but not limited to taxes, shipping and handling fees, and storage fees if applicable. Bidder also agree and acknowledge that they will maintain valid credit card information within their bidder profile so long as they maintain an account with ASLLC and that they are authorized to use the designated payment method. Bidder further permit and allow offset rights to charge any credit card on file for unpaid and outstanding charges because of bidding on any auction utilizing this platform including but not limited to charges, shipping, transportation or removal of items, storage and other related charges as allowed by law and auction specific disclosed Terms & Conditions. ASLLC does not permit prepaid debit/credit cards for registration or payment. ASLLC reserves the right in its sole and absolute discretion to cancel bids or suspend bidding privileges of any user not maintaining valid payment information.

Placing a Bid – Bidder agrees and acknowledges that, in exchange for valuable consideration (including but not limited to the rights to use the Site, use the Services, and participate in the online auction), all bids placed by bidder are irrevocable offers to purchase an item that may not be withdrawn by bidder at any time prior to the close of the auction. Bidder expressly agree that, due to the irrevocable nature of the bids, any cancellation or correction of a bid by ASLLC may result in a previous bid being the highest current bid subject to acceptance at the close of the auction. By placing a bid, bidder expressly agrees that if they are the winning bidder they will pay for their item and agree to any additional handling and shipping fees applicable for shipped items. It is the bidder’s responsibility to understand the pickup and delivery options and costs for each item before a bid is placed. All bids are shown in US dollars and all taxes, shipping, and handling charges are additional. ASLLC reserves the right to contact first time previously unknown bidders without a prior paid invoice during bidding or an auction with the sole purpose to establish identity and validate bids made.

Minimum and Maximum Bids – When submitting a bid, bidder must raise the bid by a minimum established increment. Bid increments are available below. Bidder may elect to raise the bid by more than the required minimum by entering a higher bid in the “Place Your Bid” box. If bidder enters a higher minimum bid and their bid is the winning bid, bidder agrees to be bound to that bid amount, regardless of any other previous bids. Bidder may also elect to enter a proxy bid in the “Place Your Bid” box. If bidder enters a maximum bid, the system will automatically raise that bid by the specified increments if they are subsequently outbid, up to their designated maximum bid amount (“Maximum Bid”). Maximum Bids are not disclosed. Maximum and/or Minimum Bids do not include any taxes, shipping, buyer premium, or handling fees.

Increasing Bidders Own Bid – The system will permit a bidder to raise their own bid by rebidding on the same item. This is to permit the bidder to raise the price of an item out of the reach of other bidders. If they rebid on an item, their new bid is binding. If a bidder is the current high bidder and want to increase their maximum bid without increasing the current bid, they should enter a higher amount in the “Place Your Bid” box without any minimum bid amount.

Bid Correction/Retraction – As stated above, all bids represent irrevocable offers to purchase that may not be withdrawn prior to the close of the auction. It is bidder’s sole responsibility not to submit erroneous bids. If a bidder submits an erroneous bid more than twenty-four (24) hours before the scheduled close of a sale, they may request a correction by contacting us at admin@auctionspear.com.  Bid corrections are at the sole discretion of ASLLC. Bid correction requests will become part of bidder’s user history and are subject to review. Under no circumstances will a bid correction request be honored in the final twenty-four (24) hours of a sale. Notwithstanding any of the foregoing, ASLLC reserves the right to cancel any bid at any time if, in our sole discretion, ASLLC determine an error was made.

Bidding Notices – For bidder’s convenience, ASLLC provides certain e-mail, push and SMS communications regarding the status of ongoing sales. These communications are provided as a courtesy only and are not official bid status communications. The failure to receive a notification of a winning bid does not relieve bidders from their contractual obligations as the winning bidder. To confirm the status of current bids, visit the “Your bids” page. Bidder expressly agree that the display of the highest bid and the status of current bid on the Site at the close of the auction are both accepted means of acceptance of their bid by the seller. The bid history reflected on the ASLLC system supersedes any e-mail, push or SMS communication in dispute resolutions.

Shill Bidding – Bidder represents and warrants that they will not engage in shill bidding. Shill bidding happens when anyone (including family, agents, friends, employees, or online acquaintances) bids on an item with the intent to artificially increase its price or desirability, usually on behalf of the seller. Bidder will be held liable for and agree to indemnify ASLLC against any damages incurred by ASLLC due to their related shill bidding.

4. Payment

Payment Forms Accepted - If bidder has placed the winning bid on an item that is eligible for in person pickup, they can pay for their purchases during the designated removal and payment times listed with cash, or bidder may prepay online with a credit card or gift card and present their ID for pickup. All invoices under five thousand dollars ($5,000) that are shipped must be paid with a credit card and/or valid gift card (if applicable). Purchases over five thousand dollars ($5,000) will require payment via ACH, PayPal, wire, or any other form of ASLLC approved payment. Winning bidders with questions of how to make payment should contact the Independent Associate auction company directly. If bidders do not elect a fulfillment method and they do not pick the item up during the scheduled pickup time outlined, ASLLC reserves the right to charge bidders payment method on file for the total purchase price of the item plus any applicable handling and shipping charges and may ship the item to your address of record. Bidder hereby expressly grant ASLLC the right to hold a winning item until confirmation of cleared funds has been received by ASLLC.

Please check the Terms & Conditions listed for each auction to ascertain which payment methods will be available. There may be instances where auctions are held in remote locations with no electricity, Internet, or cell service. In those cases, cash may be required so please check the details page of each auction in which bidders have participated. Cashier’s Checks, Company checks, or personal checks are not accepted. A Buyer's Premium (usually 18%) applies to all final bids.

Sales Tax – All sales are subject to appropriate state sales and use tax laws. Tax exempt buyers must provide the appropriate state sales tax exemption certificate prior to the end of the sale. Upon acceptance and validation of such information by ASLLC, bidder’s future purchases may not be taxed if they are still eligible for tax exemption. Bidders may be required to update certificates on file periodically as deemed necessary by ASLLC. ASLLC and Independent associate auction companies requires a sales tax exemption certificate for each state in which an exemption is claimed.

Agricultural sales Tax exemptions- Items purchased for use in agricultural production must qualify for tax exemption per the Texas Agricultural sales tax exemption publication #96-1112. Bidder acknowledges that per this publication, only materials specifically identified on list utilized exclusively on a farm or ranch to produce agricultural products which will be sold AND when bidder has an agriculture/A G Timber number.

Failure to Pay – Any items not paid for in accordance with the ASLLC Terms and Conditions and stated pickup dates and times or within prescribed negotiated agreement with the Independent Associate auction company directly will be forfeited by the bidder and ASLLC may, in its sole and absolute discretion, resell or dispose of the items as well as donate the items to a charity of ASLLC’s choosing. ASLLC reserves the right to charge any payment option bidders have on file and/or to report their account to collections for the combined total of the original invoice amount and any storage, moving or disposal charges and bidder may be responsible for any charges incurred by ASLLC in collecting their payment.

Gift Cards and Promotions – Subject to the terms and conditions of the applicable gift card or promotional discount, ASLLC may accept payment via gift card or gift certificate and may discount invoices in accordance with certain promotions from time to time.

NOTICE: Please read these Bidder Registration Terms & Conditions (“Terms”) carefully before using the Site and Services. By registering, bidding, or using the Site/Services, you agree to be bound by these Terms, our Privacy Policy, and any auction-specific terms posted by the applicable Independent Affiliate auction company.

1. Definitions

  • “Site” means AuctionSpear.com, AuctionSpearinc.net, and related services, applications, tools, and domains.
  • “Services” means the online auction platform and related tools through which items may be offered and sold.
  • “Independent Affiliate” or “Auction Company” means an independent auction business or liquidator that lists and conducts auctions using the platform.
  • “Bidder,” “you,” or “your” means any person who registers, browses, bids, buys, or otherwise uses the Site/Services.
  • “Consignor” means the owner/seller of property being offered for sale by an Auction Company.

2. Platform Role; Independent Auction Companies

Auction Spear LLC is an online auction platform provider only. We do not manage, supervise, control, or dictate the day-to-day operations of Independent Affiliate Auction Companies that use or lease space on the platform. Each Auction Company is an independent business, and questions, complaints, disputes, concerns, and claims about any specific auction, listing, item, pickup, payment arrangements, shipping, condition, or service must be addressed directly with the applicable Auction Company.

Any referral or listing of an Auction Company by ASLLC does not constitute endorsement, sponsorship, or a guarantee of quality. Nothing on the Site should be construed to imply that ASLLC authorizes, supports, endorses, or sponsors an Auction Company’s services.

Contracting Parties: Unless ASLLC is explicitly identified in writing as the contracting seller for a particular lot, ASLLC is not a party to the sales contract between the Auction Company/Consignor and the winning bidder.

3. Eligibility; Account Registration

You must be at least 18 years old and able to form a legally binding contract to use the Site/Services. Certain items (e.g., firearms or other age-restricted items) may require you to be 21+ or meet additional legal requirements.

Registration is generally free to access auctions and bid. A valid credit/debit card may be required to verify identity and enable bidding. You agree to provide accurate information and keep it current. You may not share or transfer your account or bidder number without ASLLC’s prior consent.

4. Memberships; Billing; Auto-Renew

From time to time, ASLLC may offer optional paid membership tiers (e.g., “Premier Membership”) that unlock additional features such as access to certain auctions. If you enroll in a paid membership, you authorize ASLLC to charge the payment method on file for applicable fees, taxes, and any stated renewal charges.

Auto-Renew: If a membership is designated as auto-renewing at checkout or in membership settings, it will renew automatically until cancelled. You can cancel according to the cancellation instructions provided in your account or by contacting support.

No Earnings Promise: Membership or platform access does not guarantee the ability to win items, obtain specific lots, or achieve any financial result.

5. Caveat Emptor; Item Condition; No Warranties

CAVEAT EMPTOR (BUYER BEWARE): Unless explicitly stated otherwise in writing by the Auction Company, all items are sold “AS IS, WHERE IS,” with all faults, and without warranties of any kind. Descriptions, photos, estimates, and appraisals are informational only and may be incomplete. You are responsible for inspecting items (in person if available) and determining condition, authenticity, completeness, and suitability before bidding.

No Refunds/Exchanges: Except where an Auction Company expressly provides a written return policy for a specific auction or as required by law, all sales are final and no refunds or exchanges will be given.

Vehicle Titles: Title for vehicles is not guaranteed. You may be required to pursue lost/bonded title procedures in accordance with applicable law.

Disclaimer of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASLLC AND THE AUCTION COMPANIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

6. Bidding Rules; Irrevocable Offers; Bid Increments

Binding Contract: Each bid you place is an irrevocable offer to purchase that lot at the bid amount (subject to the auction’s rules). If you are the winning bidder, you enter a binding contract to pay the total amount due, including buyer’s premium, taxes, shipping/handling, and any other disclosed fees.

Payment Method Required: To bid, you may be required to keep valid payment information on file. You authorize charges for winning invoices and any auction-specific fees you owe, as permitted by law and the posted auction terms.

Reserved Right to Bid: In accordance with applicable Texas law, including Section 2.328(d) of the Texas Business & Commerce Code, Auction Spear LLC, the applicable Auction Company, the seller/consignor, and their respective agents reserve the right, where permitted by law, to place bids in auctions on the Site, including bids on behalf of the seller/consignor to protect a reserve or minimum selling price. By registering, bidding, or participating in any auction on the Site, you acknowledge and agree that notice of and liberty for such bidding is expressly reserved and disclosed by these Terms and any applicable auction-specific terms.

Bid Increments; Maximum/Proxy Bidding: Bids must meet required increments. You may enter a higher bid or a maximum/proxy bid. Maximum bids are not disclosed to other bidders.

Raising Your Own Bid: You may raise your own bid, and doing so is binding.

Bid Corrections: Errors are your responsibility. If an Auction Company permits bid corrections, it is discretionary and may be denied, especially within 24 hours of closing. ASLLC and/or the Auction Company may cancel a bid if we determine, in our discretion, that an error occurred or fraud is suspected.

Notices: Email/SMS/push notifications (if offered) are a courtesy and not guaranteed. You remain responsible for monitoring your bids and invoices.

7. Auction Closing; Auto-Extension

Lots may close in sequence at a set pace (e.g., a predetermined number of items per minute). Many auctions use an automatic extension feature: if a bid is placed with fewer than 3 minutes remaining, the close time may reset to 3 minutes from the scheduled close and continue resetting with each new bid until no bids are received for 3 minutes.

8. Payment; Buyer’s Premium; Taxes

Payment Methods: Accepted payment methods vary by Auction Company and are disclosed in each auction’s terms. Common options may include cash and certain electronic payments and/or cards. Checks are typically not accepted.

Buyer’s Premium: A buyer’s premium (often 18%) may apply to all purchases, plus any card processing fees and/or taxes where applicable. Any cash discount policy must be disclosed by the Auction Company.

Sales/Use Tax: Purchases are subject to applicable sales and use tax unless a valid exemption certificate is provided and accepted prior to the end of the sale or as required by the Auction Company’s policy. Agricultural exemptions must meet Texas requirements and documentation.

Authorization to Charge: If you do not pay as required, you authorize charging the payment method on file for amounts owed, including taxes, buyer’s premium, storage, handling, moving, disposal, shipping, and other disclosed fees, as permitted by law.

9. Pickup, Shipping, Delivery; Risk of Loss

9.1 Pickup

Pickup times and locations are set by the Auction Company and may be strict. You must bring appropriate tools, labor, and transportation. Items are released upon proof of payment and may require valid identification. ASLLC is not responsible for injuries, damage, or losses during removal or transport.

9.2 Shipping/Delivery

Shipping may or may not be available and varies by item and Auction Company. Third-party shippers may be used. Shipping costs may include handling, materials, insurance, and carrier surcharges. Delivery timelines are estimates and may vary.

9.3 Title and Risk of Loss

Unless an auction’s written terms state otherwise, title and risk of loss generally pass from the seller to you upon confirmed payment processing by the Auction Company. If you take possession before payment clears, risk of loss passes to you upon taking possession.

9.4 Loss, Theft, Damage

ASLLC and Auction Companies are not insurers. They may take reasonable precautions, but cannot guarantee security at any location. If liability is found, it is limited to a refund of the amount actually paid for the affected lot(s), unless otherwise required by law.

9.5 Failure to Pick Up or Arrange Shipping

If you fail to pick up or designate shipping within the timeframe stated for an auction (or, if none is stated, within 3 days of close), you may be deemed to have abandoned the items, and the Auction Company may resell, dispose of, or donate items at its discretion. You remain financially responsible for amounts due and may also be charged reasonable storage, moving, disposal, and administrative fees as permitted by law.

10. Non-Payment; Chargebacks; Collections

Reinstatement Fee: If your account is suspended because of an unpaid invoice, chargeback, or reversed payment, Auction Spear may require a $25 reinstatement fee payable to Auction Spear as a condition of reinstatement, in addition to payment of all amounts lawfully owed to the applicable auction company. Reinstatement is not effective until all such amounts are paid and confirmed. This fee is expressly authorized by these Terms and applies only to the extent permitted by applicable law.

Failure to Pay: If you do not pay according to the auction’s stated terms, your items may be forfeited and resold or disposed of. Your bidding privileges may be suspended or revoked. You remain liable for amounts due, and collection efforts may be initiated.

Chargebacks: Initiating a chargeback for a legitimate invoice may be treated as non-payment and may result in immediate suspension. The Auction Company may provide documentation to the issuing bank to contest the dispute.

Collections: You agree you may be responsible for reasonable collection costs, including fees and lawful attorney’s fees where permitted.

11. Returns

All sales are final unless the Auction Company expressly provides a written return policy for a specific auction or lot, or where required by law. If a return is permitted for a material listing error, claims must be submitted within the timeframe stated by the Auction Company (often within 3 days of delivery/pickup).

12. Prohibited Conduct; Suspensions; Refusal of Service

While using the Site/Services, you agree you will not:

  • Use the Site/Services if you are under 18 or otherwise unable to form a binding contract.
  • Use the Site/Services if you have been suspended/removed or engage in conduct that could result in suspension.
  • Manipulate prices without intent to purchase; collude; engage in shill bidding; or conduct fraudulent activity.
  • Circumvent fee structures, billing, or technical protections; attempt unauthorized access; scrape via automated means.
  • Fail to pay invoices, fees, or shipping costs when due.
  • Share/transfer accounts; create accounts that misrepresent identity; use another person’s information.
  • Interfere with Site operations; harass, intimidate, bully, or threaten violence or unlawful action.
  • Bid on age-restricted items if you do not meet legal age/eligibility requirements.
  • Threats of physical violence, lawsuits, and any legal action taken against ASLLC, its affiliates, employees, managers, or the auction companies that share the Auction Spear website will result in immediate and permanent suspension of bidder and seller related accounts.

Refusal of Service: ASLLC and/or an Auction Company may refuse service, deny access, cancel bids, or suspend/terminate accounts at any time, with or without notice, for any lawful reason, including suspected fraud, abuse, harassment, non-payment, or actions that undermine the integrity of the platform.

13. Firearms and Regulated Items

Some auctions may include firearms or other regulated items. You must comply with all applicable federal, state, and local laws. Federal law may require a background check through a licensed dealer prior to taking possession. Additional auction-specific fees, identity requirements, and transfer procedures may apply.

No Proxy Pickup: Where required by law or auction terms, the actual buyer must appear in person with valid government identification.

14. SMS Messaging Terms

If you opt in to receive text messages, you agree to receive recurring automated marketing and informational messages from Auction Spear LLC and/or its service providers at the number you provide. Message frequency varies. Message and data rates may apply.

Consent Not Required for Purchase: Your consent to receive marketing texts is not a condition of purchase. For TCPA compliance, opt-in should be “prior express written consent” for marketing texts where required. :contentReference[oaicite:0]{index=0}

Number Changes: Before changing/transferring your number, reply STOP from the original number or notify us at the email above.

15. Premises Entry at Your Own Risk

Persons entering auction premises do so at their own risk. Neither property owners nor ASLLC nor Auction Companies are responsible for injury, death, or property loss/damage, whether or not allegedly caused by negligence, except where prohibited by law.

You agree to exercise increased care during pickup/removal, keep children supervised, and ensure helpers comply with safety instructions.

16. Privacy; Communications; Sharing with Affiliates/Vendors

Your use of the Site/Services is subject to our Privacy Policy. We may share limited bidder information as reasonably necessary to operate the platform, facilitate invoicing, shipping/delivery, and communicate auction-related information with Auction Companies and service providers.

We may also share information with affiliates and vendors to present offers that may be of interest, consistent with your preferences and applicable law.

17. Indemnity

You agree to indemnify, defend, and hold harmless ASLLC, its affiliates, and their owners, officers, directors, managers, members, employees, and agents from and against claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site/Services; (c) your violation of law; or (d) your violation of any third-party rights, except to the extent caused by ASLLC’s gross negligence or willful misconduct.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ASLLC OR ANY AUCTION COMPANY OR THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, SUCCESSORS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, COMPENSATORY, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, WHETHER IN CONTRACT, TORT, WARRANTY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, ASLLC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE/SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ASLLC (IF ANY) IN THE PRIOR THREE (3) MONTHS.

Some jurisdictions do not allow certain limitations. In such cases, liability is limited to the greatest extent permitted by applicable law.

19. Dispute Resolution; Arbitration; Class Action Waiver

Good-Faith Resolution First: Before filing a claim, you agree to contact the applicable Auction Company (for auction-specific issues) and/or ASLLC (for platform issues) to attempt to resolve the dispute informally.

19.1 Agreement to Arbitrate (FAA)

Except as set forth below, you and ASLLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be resolved by binding individual arbitration administered by a recognized arbitration provider and governed by the Federal Arbitration Act (to the extent applicable).

19.2 Exceptions

  • Small claims court matters that qualify may be brought in small claims court on an individual basis.
  • Either party may seek temporary injunctive relief in court for misuse of intellectual property, fraud, or unauthorized access.

19.3 Class Action Waiver

YOU AND ASLLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

19.4 Opt-Out (Recommended Best Practice)

If you do not wish to be bound by arbitration, you may opt out within 30 days of accepting these Terms by sending written notice to the address in the Contact section, including your name, email, phone, and a clear statement that you opt out of arbitration. Opting out will not affect your ability to use the Site/Services unless otherwise required for lawful operation of the platform.

20. Texas Law Compliance Notice; Attorney Review Disclaimer

Texas Online Auctions: Texas regulates live-bid auctioneering; internet-only auctions are generally treated differently and may be exempt from certain licensing requirements, depending on how bidding is conducted.

Consumer Protection: Texas law prohibits false, misleading, or deceptive trade practices. Nothing in these Terms is intended to waive rights that cannot be waived under applicable law.

Attorney Review Disclaimer: These Terms are provided for general commercial use and operational clarity and are not legal advice. (including auction-by-auction terms, affiliate program terms, and state-specific rules).

21. Miscellaneous; Notices; Governing Law; Venue

21.1 Changes

ASLLC may update these Terms at any time by posting a revised version on the Site. Changes are effective when posted. Continued use after posting constitutes acceptance.

21.2 Electronic Communications; E-SIGN

You consent to receive communications electronically (e.g., email, Site notices, SMS if opted in). Electronic records and signatures are intended to satisfy legal requirements for written agreements and notices where permitted.

21.3 Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the provision may be reformed to reflect the parties’ intent to the greatest extent permitted by law.

21.4 Force Majeure

ASLLC is not liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, outages, government actions, labor disputes, war, terrorism, epidemics/pandemics).

21.5 Assignment

You may not assign your rights or delegate obligations without ASLLC’s prior written consent. ASLLC may assign these Terms.

21.6 Governing Law; Venue

These Terms are governed by Texas law, without regard to conflict of law principles. Subject to the arbitration section above, you agree that any court proceedings will be brought exclusively in state or federal courts located in Tarrant County, Texas, and you consent to jurisdiction and venue there.

21.7 Entire Agreement

These Terms, our Site Terms of Use (if posted), our Privacy Policy, and any auction-specific terms posted by the applicable Auction Company constitute the entire agreement between you and ASLLC regarding the Site/Services.
